These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and GenieCore, Inc. ("Company," "we," "us," or "our") governing your access to and use of the BlindnoteGenie blind note conversion service, including the BlindnoteGenie web application, the BlindnoteGenie Word Add-in, and any related websites, applications, and services (collectively, the "Service").

We strive to maintain continuous service availability but do not guarantee uninterrupted access. The Service, including both the web application and the Word Add-in, may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We are not liable for any damages resulting from service interruptions.
To use the Service, you must create an account by providing a valid email address and creating a password. You represent and warrant that:

We are not liable for any loss or damage arising from your failure to protect your account credentials.
We require email verification to activate your account. Verification links expire after 24 hours. You must use a valid email address that you control.
Each user may maintain only one account. Creating multiple accounts to circumvent usage limits, obtain additional free conversions, or for any other purpose is prohibited and may result in termination of all associated accounts.
Each new account receives ten (10) free document conversions upon account creation and email verification. Each conversion processes one (1) Microsoft Word document, regardless of the number of endnotes it contains. Free conversions are provided once per user and cannot be combined with other promotions. Free conversions do not expire, but they are non-transferable.
After exhausting your ten (10) free conversions, continued use of the Service requires a site license. Site licenses are available on an annual basis and are priced according to the size and needs of the licensing organization. Site license terms, including the number of authorized users, conversion volume, and pricing, are set forth in a separate Site License Agreement between GenieCore, Inc. and the licensee.

All payments for site licenses are processed by Stripe, Inc., or by ACH or wire transfer. For payments made through Stripe, you agree to Stripe's terms of service; we do not store your full payment card information, and Stripe's privacy policy governs their handling of your payment data. For ACH and wire payments, we will provide banking details upon execution of a Site License Agreement.
Free conversions are provided as a trial at no cost. Because no payment is required for the initial ten conversions, no refund applies. Refund terms for site licenses are governed by the applicable Site License Agreement.

You retain all ownership rights in documents you upload. By uploading a document, whether through the web application or the Word Add-in, you grant us a limited, non-exclusive license to process the document solely to provide the Service. This license terminates when processing is complete.

We do not permanently store your uploaded documents or processed output. Documents exist in our systems only during active processing. You are responsible for saving your processed documents.
THE SERVICE PROVIDES AUTOMATED CONVERSIONS, NOT GUARANTEES. You are solely responsible for reviewing all converted blind notes before publication. We are not liable for errors in converted documents that you publish without adequate review.
The Service, including all software, algorithms, methodologies, user interfaces, the Word Add-in, and documentation, is protected by copyright, patent, trade secret, and other intellectual property laws. "BlindnoteGenie," "CitateGenie," "QuotateGenie," "BluebookGenie," "GenieCore," and related marks are trademarks of GenieCore, Inc.
The technology underlying the Service is the subject of pending patent application(s). Unauthorized use, reproduction, or reverse engineering may constitute patent infringement.
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service, including the Word Add-in, for its intended purpose. This license does not include any right to:
If you provide suggestions, ideas, or feedback about the Service, you grant us a perpetual, irrevocable, royalty-free license to use such feedback for any purpose without compensation to you.
Your privacy is important to us. Our collection, use, and protection of your information is governed by our Privacy Policy. By using the Service, you consent to our data practices as described in the Privacy Policy.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SERVICE WILL BE ACCURATE, COMPLETE, RELIABLE, CURRENT, OR ERROR-FREE. BLIND NOTE CONVERSION IS AN AUTOMATED PROCESS THAT MAY PRODUCE INCORRECT OR INCOMPLETE RESULTS. YOU ASSUME ALL RISK ASSOCIATED WITH RELIANCE ON THE SERVICE AND ARE SOLELY RESPONSIBLE FOR REVIEWING ALL OUTPUT BEFORE PUBLICATION.
The Word Add-in operates within the Microsoft Office platform. We are not responsible for the availability, performance, or functionality of Microsoft Word, Microsoft Office, or the Microsoft add-in platform.
The Service does not provide legal, academic, or professional advice. The output is a document processing result and should not be relied upon as a substitute for professional editorial judgment.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL GENIECORE, INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, REGARDLESS OF WHETHER WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).
THE LIMITATIONS IN THIS SECTION APPLY EVEN IF ANY LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
You agree to indemnify, defend, and hold harmless GenieCore, Inc. and its officers, directors, employees, agents, and successors from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

You may terminate your account at any time by contacting us at support@geniecore.net. Upon termination, any unused free conversions are forfeited. Site license termination is governed by the applicable Site License Agreement.

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of laws principles.
Before initiating any formal dispute resolution, you agree to contact us at legal@geniecore.net and attempt to resolve the dispute informally for at least 30 days.
If we cannot resolve a dispute informally, you agree that any dispute, claim, or controversy arising from or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration shall be conducted in Wilmington, Delaware, unless the parties agree otherwise.
YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You waive any right to participate in a class action lawsuit or class-wide arbitration.
Notwithstanding the above, either party may bring an individual action in small claims court if the claim qualifies.
We may modify these Terms at any time. When we make material changes, we will:
Your continued use of the Service after changes become effective constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Service and uninstall the Word Add-in.
These Terms, together with the Privacy Policy and any applicable Site License Agreement, constitute the entire agreement between you and GenieCore, Inc. regarding the Service and supersede all prior agreements and understandings.
If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.
Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or our right to enforce it later.
You may not assign or transfer these Terms or your rights hereunder without our written consent. We may assign these Terms without restriction.
These Terms do not create any third-party beneficiary rights.
We may provide notices to you via email to the address associated with your account. You may provide notices to us at legal@geniecore.net.
We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, government actions, or internet service failures.
You agree to comply with all applicable export control laws and regulations.
